These Terms & Conditions ("Terms") govern your access to and use of the website joops.ai, the application at app.joops.ai, and related services (together, the "Service"), operated by Joops AI ("Joops," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, and you agree to provide accurate and complete information.

2. The Service

Joops is an AI-powered advertising platform that analyzes your advertising data and helps you generate, optimize, and manage ad concepts and creatives. Features, functionality, and availability of the Service may change over time, and we may add, modify, or discontinue parts of the Service at our discretion.

3. Connected advertising accounts

The Service lets you connect third-party advertising accounts (for example, Meta, TikTok, and Google Ads). By connecting an account, you authorize Joops to access data from it as described in our Privacy Policy. You represent and warrant that you have the right to connect each account and to grant this access, and that your use of the Service complies with the terms, policies, and requirements of each connected platform. Your use of those platforms is governed by their own terms, and Joops is not responsible for their services, decisions, or actions.

4. Acceptable use

You agree not to, and not to permit others to:

• Use the Service in violation of any applicable law or regulation, or the policies of any connected advertising platform;
• Infringe, misappropriate, or violate the intellectual property, privacy, or other rights of any party;
• Upload or transmit malware or otherwise interfere with or disrupt the Service;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
• Scrape, resell, or overload the Service, or use it to build a competing product;
• Use the Service to create or distribute advertising that is deceptive, fraudulent, infringing, or otherwise prohibited.

5. Your content & data

You retain ownership of the data, materials, and content you provide to, or connect with, the Service ("Your Content"). You grant Joops a worldwide, non-exclusive, royalty-free license to host, store, process, adapt, and display Your Content solely as needed to operate, provide, secure, and improve the Service for you. You are solely responsible for Your Content and represent that you have all rights necessary to provide it and to grant this license.

6. AI-generated content

The Service uses artificial intelligence to generate ad concepts, copy, images, and video ("Output"). Because of the nature of machine learning, Output may be inaccurate, incomplete, or similar to content generated for other users, and it is provided without any guarantee of originality, accuracy, or fitness for a particular purpose. You are responsible for reviewing, editing, and verifying all Output before use, and for ensuring it complies with applicable laws, advertising-platform policies, and third-party rights. To the extent permitted by law, you are responsible for your use of Output.

7. Intellectual property

The Service — including its software, models, design, text, graphics, and other content (excluding Your Content and Output) — is owned by Joops or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. All rights not expressly granted are reserved.

8. Fees & billing

Some features of the Service are offered free of charge; others require a paid plan or credits. Fees, billing cycles, and included usage are described at the point of purchase. Unless otherwise stated or required by law, fees are non-refundable. We may change our pricing on a prospective basis with reasonable notice.

9. Third-party services

The Service integrates with and relies on third-party services and platforms. Your use of those services is subject to their respective terms and policies, and we are not responsible for their availability, accuracy, or actions.

10. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that it will produce any particular advertising or business result.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOOPS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless Joops and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your advertisements, your use of the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if required by law, or if necessary to protect the Service or other users. Upon termination, your license to use the Service ends, and provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnification) will survive.

14. Changes

We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date above and provide additional notice where required. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction, except where applicable law provides otherwise.
